LETTER FROM THE CHIEF EXECUTIVE OFFICER
Dear Aeros Shareholders and Partners,
For decades, the promise of cargo airship technology captured imagination but fell short of execution. In 2025, we changed that narrative. We transformed Aeros from an advanced engineering organization into an enterprise built not only on innovation, but on long-term vision, operational discipline, and durability.
Over the course of the year, we achieved milestones that fundamentally repositioned the Company. We chose patience over haste, durability over headlines, and execution over speculation.
We advanced FAA-recognized operating frameworks that bring airship-enabled logistics into real-world applications. We progressed our electric Variable Buoyancy Airship (eVBA) ML806 and ML866 into manufacturing readiness. We strengthened the governance, reporting, and control foundations required to operate on a global scale. These were not symbolic achievements; they were structural ones.
As we look ahead, the opportunity before Aeros is extraordinary. Infrastructure is increasingly congested. Sustainability is no longer optional. At the same time, demand for fast, infrastructure-independent, zero-emission logistics continues to accelerate across commercial, industrial, and strategic sectors. Aeros sits at the intersection of these forces with capabilities that are rare, defensible, and increasingly essential.
Entering 2026, we do so with momentum, clarity, and confidence. The transition to commercial deployment is now a tangible near-term reality. Executing what lies ahead will require continued focus, ambition, and thoughtful capital planning.

INSTITUTIONAL MOU SIGNED WITH GLOBAL INVESTOR
We’re proud to share that Aeros has signed a Memorandum of Understanding with a major global institutional investor. While the terms remain confidential, the agreement reflects strong conviction from a sophisticated capital partner, long-term alignment with our equity strategy, and international recognition of our category-defining role in logistics. This marks a major milestone in our capital formation strategy as we scale operations and prepare for public listing.

COMMERCIAL INTEREST CONFIRMED.
At Manifest 2025, a leading global logistics conference, Aeros engaged with major 3PLs, retailers, and freight providers. Over 40 development meetings were conducted, including pilot program discussions with large retailers. Market response strongly validated demand for infrastructure-free, zero-emission, rapid fulfillment solutions.

AEROSTAT FABRICATION TECHNOLOGY
Aeros signed an agreement with Dron Vayu, a leading Indian UAV manufacturer, enabling the transfer of Aeros aerostat fabrication technology. Leveraging over 30 years of lighter-than-air expertise, this partnership expands Aeros’ technology footprint in India and supports new global applications.

NEW MULTI-MILLION DOLLAR PARCEL DELIVERY AGREEMENT SIGNED.
Aeros has signed a multi-million-dollar agreement to initiate commercial parcel delivery using our AFC platform, combining advanced airship systems with drone deployment technology. This milestone validates commercial demand for our infrastructure-free delivery solution, initiates revenue-generating operations, and establishes a foundation for scalable, recurring parcel delivery services. The contract signals growing trust from the market in our ability to offer fast, zero-emission fulfillment at scale.

CARGO COMPARTMENT
We completed the construction of its eVBA Cargo Bay Iron Bird, a critical step toward commercial deployment of eVBAs. This advanced testing platform validates the cargo handling systems of the airships, supporting a wide range of customer needs, including packages, pallets, bulky, high-value cargo, humanitarian aids, military equipment, and commercial goods.

FAA-CERTIFIED DRONE PILOTS ONBOARD
Aeros engineers are now FAA-certified under Part 107, authorizing them to execute commercial drone deliveries from our Airborne Fulfillment Center (AFC).
This certification is a critical milestone in enabling safe, compliant drone operations launched directly from our airborne hubs.

Initiating the Patent process for multiple inventions spanning critical technology and reinforcing long-term enterprise value.
Airship-Drone Distribution System, covering integrated systems and operational methods for deploying, coordinating, and recovering drones from an airborne airship platform for logistics and parcel distribution.
The importance of this innovation is strategic. By protecting the integrated system architecture rather than individual components, Aeros establishes a defensible position around how airborne hubs can be safely and legally operated.
Modular Airship Structure, design approach that enables scalable manufacturing, and accelerates production timelines. These innovations support the Company’s ability to expand production without linear increases in cost or complexity.
By protecting its manufacturing methods, Aeros not only safeguards proprietary know-how but also reinforces barriers to entry that are difficult to overcome without significant time, capital, and expertise.

SUCCESSFUL TEST OF EVBA CARGO MANAGEMENT SYSTEM
We’ve successfully integrated and tested a functional mockup of the Cargo Bay Handling System for our electric variable buoyancy airship (eVBA). With this milestone achieved, the cargo bay test platform is now ready to support customer-specific demonstrations, allowing partners to verify how their cargo will fit, interface, and be handled within the eVBA platform prior to flight operations.

During 2025, Aeros advanced the engineering development of its electric Variable Buoyancy Airship (eVBA) platform, with focused progress on both the ML806 and ML866 (66-ton payload) configurations. Activities concentrated on variable buoyancy control architecture, including lift gas management, and closed-loop flight stability systems enabling modular scaling from ML806 to ML866.
In parallel, Aeros advanced manufacturing readiness through the definition of modular assembly processes, tooling concepts, and production workflows aligned with rate-based scale-up.

CARGO AIRLINE PARTNERSHIP PROGRAM
Aeros Announces Cargo Airline Operators Partnership Program; Global Cargo Airlines Express Early Interest
Aeros has received strong interest from cargo airlines in the ML866 66-ton payload, driven by its ability to address capacity gaps left by the planned discontinuation of large freighter aircraft such as the Boeing 777. As major aircraft manufacturers scale back production of high-payload cargo planes, air cargo operators face growing uncertainty around long-term fleet availability and network capacity.
In response, Aeros has initiated active engagement with cargo airlines across the Americas and Europe and plans to expand operator partnerships into Asia in 2026, positioning the Aeroscraft as a next-generation, zero-emission solution for high-volume and oversized cargo operations.
AIRBORNE FULFILLMENT CENTER CONOPS SUBMITTED TO THE FAA
Following receipt of a Memorandum of Technical Assistance from the FAA, Aeros submitted the final version of its AFC Concept of Operations. This submission positions Aeros as the only company actively advancing an FAA-recognized operational framework for drone-based parcel delivery from an airborne platform.
Aeros reduced approval risk by advancing FAA-recognized operating concepts rather than relying on temporary exemptions. The submission of the Airborne Fulfillment Center Concept of Operations, combined with internal FAA Part 107 certification, embedded regulatory competence within the organization and created barriers to entry for competitors.

POTENTIAL PUBLIC OFFERING
Aeros advanced its preparation for a potential Regulation A Tier 2 offering by completing key operational, financial, and governance milestones required for SEC submission. Any offering would be subject to SEC review and qualification, with ongoing reporting obligations upon approval. Management views Regulation A as both a capital-raising pathway and a step toward institutional and public-market readiness. Preparatory efforts included a successful “Testing the Waters” campaign generating over 3,700 investor indications of interest, completion of audited GAAP financial statements, and engagement of a transfer agent.
